Anti-Slavery and Human Trafficking Policy

MODERN SLAVERY STATEMENT

INTRODUCTION

The following statement of PSI Services LLC, PSI Solutions LLC, and PSI Services (UK) (together “PSI”) responds to Section 54, Part 6 of the Modern Slavery Act 2015 and the California Transparency in Supply Chains Act of 2010 requirements and sets out the steps we have taken across our operational activities in relation to slavery and human trafficking in our supply chains and within our own organization during the fiscal year ended April 30, 2024.

Each PSI legal entity shares the same core business operations and supply chains as well as the modern slavery policies, processes, and risks further described in this statement.

OUR BUSINESS AND SUPPLY CHAINS

PSI is a global leader in workforce solutions with over 70 years’ experience delivering successful testing programmes to help people achieve success in their academic, personal, and work lives. We provide assessment solutions to a range of private and public sector organizations.

We do not manufacture goods, operate factories, or handle raw materials or commodities. We do, however, source products and services from various suppliers located worldwide to support our business operations. We also manage, operate, and use third-party suppliers of test centers to service our clients. Our main supply chain categories include IT and marketing services.

OUR POLICIES ON SLAVERY AND HUMAN TRAFFICKING

We are committed to ensuring that there is no modern slavery or human trafficking in our supply chains or in any part of our business. In connection with this commitment, we have adopted a policy outlining our employee ethics and conduct standards. It sets out the internal policies that all of our employees are required to follow in the course of their employment with us. Our internal policies also reflect our commitment to acting ethically and with integrity in all our business relationships and to implementing and enforcing effective systems and controls to ensure slavery and human trafficking is not taking place anywhere in our business and in our supply chains. We also ensure that all employees are paid at the prevailing minimum wage applicable within their relevant country of operation.

DUE DILIGENCE PROCESSES FOR SLAVERY AND HUMAN TRAFFICKING

As part of our initiative to identify, monitor, and mitigate against industry and business risk in the countries in which we operate, we have adopted policies and systems across our business to:

  • Identify inappropriate employment practices;
  • Identify, assess, and monitor other potential risk areas;
  • Mitigate the risk of slavery and human trafficking occurring; and
  • Protect whistle-blowers.
SUPPLIER ADHERENCE TO OUR VALUES AND ETHICS

We have zero tolerance to slavery and human trafficking. To ensure contractors and all those in our supply chain comply with our values, prior to entering into agreements with suppliers, we implement a Third Party Risk Assessment. Our Third Party Risk Assessment identifies issues in the supply chain and requires our suppliers to have their own robust anti-slavery and human trafficking policies in place, or to confirm adherence to those of PSI.

TRAINING

To ensure a high level of understanding of the risks of modern slavery and human trafficking in our business, and in our supply chains, we provide relevant training to our employees. We may, where appropriate, also require our business partners to provide regular and relevant training to their staff, suppliers, and providers.

FUTURE PLANS

Going forward, PSI intends to continue to enhance our Third Party Risk Assessment process to ensure use of ethically sound suppliers across the our business. We aim to increase employee modern slavery training and enhance our supplier contracts by including more detailed clauses on modern slavery.

The statement has been approved by PSI General Counsel who will review and update it on an annual basis.
